    Terms of Service

    1. Acceptance of Terms

    These Terms of Service ("Terms") constitute a legally binding agreement between you ("Partner," "you," or "your") and SkyGate Travel Technology ("SkyGate," "we," "us," or "our"), registered in Tbilisi, Georgia. By accessing or using the SkyGate white-label travel platform and associated services (the "Services"), you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

    2. Eligibility

    You must be at least 18 years of age and have the legal capacity to enter into binding contracts. If you are acting on behalf of a business entity, you represent and warrant that you have the authority to bind such entity to these Terms. You are responsible for ensuring that your use of the Services complies with all applicable laws in your jurisdiction.

    3. Description of Services

    SkyGate provides a white-label Software-as-a-Service (SaaS) platform enabling you to operate your own branded online travel agency. The platform includes access to hotel inventory (2,000,000+ properties), airline booking systems (1,000+ carriers), tour package creation tools, integrated payment processing, multi-language and multi-currency support, and automated booking workflows. SkyGate operates entirely in the background — your end customers interact solely with your brand.

    4. Account Registration and Security

    You must provide accurate, complete, and current information during registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach. SkyGate shall not be liable for losses arising from unauthorized use of your account.

    5. Pricing, Payments, and Revenue Model

    SkyGate provides access to wholesale (net) rates from travel suppliers. You set your own retail prices and retain the full margin between wholesale and retail prices. SkyGate does not participate in revenue sharing with partners. Platform subscription fees, setup fees, and any applicable charges are detailed in your specific service agreement. All payments are non-refundable unless otherwise specified in writing. Late payments may result in service suspension.

    6. White-Label License

    Subject to these Terms, SkyGate grants you a non-exclusive, non-transferable, revocable license to use the platform under your own brand name, domain, and visual identity. You may not sublicense, resell, or redistribute the platform technology itself to third parties. The underlying technology, source code, algorithms, and intellectual property remain the exclusive property of SkyGate Travel Technology.

    7. Partner Obligations

    • Operate your branded platform in compliance with all applicable local, national, and international laws and regulations.
    • Provide accurate information to your customers and not engage in misleading or deceptive practices.
    • Maintain appropriate customer service standards for your end users.
    • Refrain from using the Services for any illegal, fraudulent, or harmful purpose.
    • Not attempt to reverse-engineer, decompile, or extract the source code of the platform.
    • Not introduce malware, viruses, or any harmful code into the platform.
    • Comply with all applicable data protection regulations regarding your customers' data.

    8. Intellectual Property

    All intellectual property rights in the platform, including but not limited to software, designs, trademarks, trade names, and documentation, are owned by SkyGate Travel Technology. Your brand elements (logo, name, domain) remain your property. Neither party acquires any rights in the other party's intellectual property except as expressly granted herein.

    9. Service Availability and Modifications

    SkyGate strives for maximum uptime but does not guarantee uninterrupted or error-free service. We may modify, update, or discontinue features with reasonable notice. Scheduled maintenance windows will be communicated in advance. SkyGate shall not be liable for temporary service interruptions due to maintenance, upgrades, or circumstances beyond our reasonable control.

    10. Limitation of Liability

    To the maximum extent permitted by applicable law, SkyGate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill. Our total aggregate liability under these Terms shall not exceed the total fees paid by you during the twelve (12) months preceding the claim.

    11. Indemnification

    You agree to indemnify, defend, and hold harmless SkyGate, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your end customers' claims related to your branded platform.

    12. Termination

    Either party may terminate this agreement with 30 days' written notice. SkyGate reserves the right to suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or fail to make timely payments. Upon termination, your access to the platform will be revoked, and any outstanding fees become immediately due. Data retention post-termination is governed by our Privacy Policy.

    13. Force Majeure

    Neither party shall be liable for any failure or delay in performing obligations due to causes beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, power failures, internet outages, or supplier failures.

    14. Governing Law and Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of Georgia, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Tbilisi, Georgia, in accordance with applicable arbitration rules. Each party bears its own costs unless the arbitrator determines otherwise.

    15. Severability

    If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

    16. Entire Agreement

    These Terms, together with the Privacy Policy, Cookie Policy, GDPR Compliance Policy, and Service Level Agreement, constitute the entire agreement between you and SkyGate regarding the use of the Services and supersede all prior or contemporaneous agreements, communications, and proposals.
